Blackburn College Alumni Association Bylaws

ARTICLE I  
  The following Bylaws of the Alumni Association of Blackburn College have been adopted pursuant to Article IX, Section 1 of the Blackburn College Alumni Association Constitution, as amended.
ARTICLE II FISCAL YEAR
  The fiscal year of this Association shall be from July 1 to June 30.
ARTICLE III BOARD OF DIRECTORS

Section 1

Any Association members are eligible for membership on the Board of Directors.

Section 2

The Directors and officers shall be elected by majority vote of the Membership present at the annual meeting of the Association.

Section 3


Unless limited by Article V, Section 2 of the Blackburn College Alumni Association Constitution, the Presidents of local alumni chapters shall automatically become ex-officio members of the Board.

Section 4











The Board, will at their last meeting of the school year, elect two members of the Blackburn sophomore class to join the Board and serve for a term of one school year as the junior class student members of the Board of Directors, and two members of the Blackburn junior class to join the Board and serve for a term of one school year as the senior class student members of the Board of Directors. Such student members shall be considered full members of the Board of Directors and shall be vested with all the powers and duties attending membership of the Board of Directors. In the event that a vacancy, for any reason, should occur in either the junior class student member or senior class student member positions, the Board shall elect a member of the same Blackburn class in which the vacancy has occurred to complete the term as junior class student member or senior class student member, as the case may be.

Section 5







Members of the Board of Directors shall be elected for a term of three years. No person may serve for more than three consecutive terms. The term of office shall begin immediately after election to the Board and shall terminate at the end of the annual meeting of the Association following the third year in office. Except as provided in Article VI, Section 3 of the Blackburn College Alumni Association Constitution, if any member of the Board of Directors leaves the Board before completion of his/her term, the Alumni Board will choose another member of the Association to complete that term.

Section 6





One-third of the Board of Directors shall constitute a quorum. Except as otherwise provided herein or by the Blackburn College Alumni Association Constitution, the majority vote of the Board of Directors present at a meeting at which a quorum is present shall constitute the approval and act of the Board. In no event shall an individual member of the Board vote more than once on a question or election.

Section 7

The President or four Directors may call a special meeting of the Board of Directors.

Section 8

The Directors members of the Board of Directors shall
  a) Attend all regular and special meetings of the Board of Directors and the annual meeting of the Association. If any Director fails to attend at least half the meetings during the interval beginning with the last meeting before an Annual meeting and concluding with the last meeting of the academic year, he/she shall be subject to dismissal from the Board. (In the case of new Directors, this interval will begin with the first meeting following the Annual meeting.) In this event, the President will review the Director’s circumstances and determine if any action should be taken. A member of the Board of Directors may be removed from the Board by the action of the Board whenever in the judgment of the Board the interests of the Association or Board will be served thereby. Except as provided by Article VI. Section 3 of the Blackburn College Alumni Association Constitution, in the event of the absence of a member of the Board at any regular or special meeting, the Board of Directors may, in its discretion, appoint another Member of the Association to serve in the stead of such absent member at such meeting.
  b) Be available to assist fellow members with problems that they may encounter and represent members’ needs in the deliberation of the Board of Directors.
  c) Advise the Board of Directors of College service needs worthy of the Association’s help and efforts.
  d) Recruit new Board members in order to maintain the full strength of the Board. In recruiting new Board members, the Board of Directors may, in its discretion, in order to achieve a Board of Directors representative of varying generations of Blackburn Alumni, consider the class years of such members.
  e) Elect one of their members to represent the Alumni Board as a voting member of the Board of Trustees. The term of representation on the Board of Trustees shall be two years. If such member is for any reason unable to complete such term of representation, the Board shall elect another of their members to complete such term.
ARTICLE IV OFFICERS
  All officers shall be elected to a 2-year term except the Executive Secretary, who, pursuant to Article VI, Section 4 of the Blackburn College Alumni Association Constitution, is appointed by Blackburn College.
ARTICLE V ELECTION OF DIRECTORS AND OFFICERS
  The slate of officers and Directors presented to the annual meeting shall be prepared by the Board of Directors.
ACTICLE VI MEETING OF THE MEMBERSHIP

Section 1




Notice of time and place of the annual meeting of the Association shall be given to all members of the Association at least 10 days prior to the date thereof. Such notice may be made by publication in the Blackburn Update or in such manner as the Board may determine appropriate. All Members are entitled to attend and vote.

Section 2


Notice of the time and place of all meetings of the Board of Directors, including any special meeting, shall be furnished to all members of the Board at least 10 days prior to the date thereof in any appropriate manner.
ARTICLE VII COMMITTEES

Section 1

The Board of Directors may create one or more committees, each having two or more members of the Board, who serve at the pleasure of the Board.

Section 2



The Board of Directors may appoint an advisory committee, which may include Association members and non-members to serve the Board of Directors in an advisory capacity. Such advisory members will not be entitled to vote on official Board matters.
ARTICLE VIII PARLIAMENTARY PROCEDURE
  Except as otherwise provided herein or by the Blackburn College Alumni Association Constitution, Robert’s Rules of Order, Revised, shall be the authority on all questions of parliamentary procedure.
